Debt finance and real estate—vital to many businesses. Andrew Sherwood's clients rely on his advice and experience in both areas and depend on him to negotiate, document, and close transactions.

On the debt finance side, Andrew counsels borrowers on complex issues and transactions involving debt markets and the acquisition of capital for strategic and operational needs. He focuses on mid-market transactions, including acquisition financing for large corporations and private equity sponsors and working capital financing for mid-market companies. Andrew's breadth of debt finance experience is wide-ranging and includes public company financings, acquisition financing, asset-based loans, leveraged buyouts and recapitalizations, real estate financing, letter-of-credit facilities, private-placement note offerings, public note issuances, mezzanine debt structures, intercreditor arrangements, and loan workouts and restructurings.

A Texas board-certified commercial real estate lawyer, Andrew represents developers, property owners, landlords, tenants, and investors. He understands that the role real estate plays in a business, whether as an investment or an essential business asset, influences the client's priorities. Andrew channels his efforts toward those priorities when negotiating acquisitions, dispositions, leases, financing, and other real estate transactions.

Although Andrew has two distinct principal practices, one thing is similar: clients stay with him for a long time. Many of his client relationships that started with a single project of limited duration have grown into integrated and enduring collaborations, in large part because clients appreciate his practical, solutions-oriented approach to achieving their objectives. Andrew believes his role begins and ends with knowing the client's business and its strategic needs and vulnerabilities, and that knowledge guides each decision he makes and the advice he provides.

Andrew is the assistant practice group leader for the firm's real estate practice and has also served on the firm's recruiting team, helping to identify, attract, and retain top legal talent.
