Asel M. Lindsey serves as Assistant Practice Group Leader of the firm's Tax Practice Group. Board Certified in Tax Law by the Texas Board of Legal Specialization, she focuses her practice on business and transactional tax matters, strategic tax planning, and comprehensive estate planning.

Asel advises on a broad range of corporate and business tax matters, bringing extensive experience in mergers and acquisitions, taxation of flow-through entities, and corporate and business restructuring transactions. Asel represents business owners, private equity clients, family offices, and individual investors on a variety of issues related to middle-market transactions, including acquisition and disposition structuring, tax-efficient rollover equity arrangements, roll-up and platform acquisition strategies, preparation and negotiation of partnership and LLC agreements, Section 1031 like-kind exchanges, management equity incentive planning, qualified small business stock (QSBS) planning, and other issues. She also advises foreign companies and investors on inbound U.S. investment, guiding clients through entity selection, formation, and structuring for U.S. subsidiaries and operations, along with the domestic tax compliance and reporting obligations that follow. As a member of the firm’s Dental Service Organizations (DSO) group, Asel advises on tax issues related to the formation, acquisition, and restructuring of dental service organizations and similar managed service structures. 

Asel works closely with high-net-worth individuals and families with multigenerational wealth, assisting with succession planning, estate planning, asset protection, lifetime transfer strategies, and charitable giving objectives. By advising business owners and designing strategies that address personal and business tax exposure alongside wealth transfer, business succession, and exit planning, Asel is able to guide her clients through complex transitions with a single, cohesive, and integrated plan.

In addition to her transactional and planning practice, Asel represents clients in tax controversy matters, helping individuals and businesses resolve disputes with the IRS and state taxing authorities. Her experience includes IRS audits and examinations, administrative appeals, penalty abatement requests, and related issues.

Asel also advises nonprofit and tax-exempt organizations, guiding clients through the process of obtaining and maintaining tax-exempt status with the IRS. She assists with entity formation, Form 1023 and 1024 exemption applications, and the ongoing compliance obligations that come with tax-exempt status, including unrelated business income tax (UBIT) issues, private foundation excise tax rules, public charity status and support tests, and governance best practices. Asel works with a range of exempt organizations — from newly formed charities and private foundations to established nonprofits navigating complex operational or structural changes.

Asel’s goal is to serve as a single, trusted advisor who can address the full spectrum of a client’s tax and planning needs — from business formation and transactional structuring to succession, estate planning, and charitable giving. By bringing this range of experience under one roof, she helps clients avoid the inefficiency and disconnect that often comes from working with multiple advisors, ensuring that every strategy is designed cohesively and with a complete understanding of each client’s broader goals.
