Tax

Nearly every business decision is likely to raise important tax considerations, which are further complicated by the fact that the tax rules are always changing. As trusted tax advisors to our clients, we help navigate the complex tax code to proactively manage your matter with experienced and sophisticated counsel.

Dykema’s 20th Annual M&A Outlook Survey

We canvassed CEOs, CFOs, and other professionals involved in M&A activities with their respective firms to gauge their insights and perspectives on the M&A market in the coming 12 months.

The results provide a snapshot of the M&A market and the economy this year and how they compare from previous years.

To plan and execute successful business strategies and transactions, you must weigh the effects of ever-changing federal, state, and local taxation laws. This not only holds true for Fortune 500 companies; it impacts closely held businesses and individuals as well.

The Dykema team is well-versed in the complexities of all aspects of tax law. We provide sophisticated representation on the full range of tax issues to business, nonprofit, and government entities as well as high-net-worth individuals.

Our tax lawyers craft strategic solutions that help clients eliminate, reduce, or defer their tax liabilities and comply with the evolving tax law landscape, as well as structure a range of economically sound, tax-efficient transactions.

We represent clients in adversarial tax proceedings—such as audit controversies, administrative proceedings and litigation in all judicial forums available to taxpayers.

Our experience also includes representation on legislative and regulation projects before the tax-writing committees of Congress and the Treasury Department.

Our strengths and services in this area include:

  • planning and structuring all aspects of a transaction
  • evaluating and preparing documentation and agreements, including term sheets, purchase contracts, equity commitment letters and sponsor guarantees, shareholder, operating, and joint venture agreements
  • negotiating with adverse interests, potential partners, and other counterparties, including target companies, participating funds, institutional lenders, contractors and employees
  • meeting the numerous compliance and governance challenges of a complex regulatory environment
  • lobbying—through our government policy advisors—members of Congress, state legislatures, and various regulatory agencies and municipalities to promote client interests in tax legislation
